In detail
Form a company in the US or UK from anywhere
We incorporate companies in the United States and the United Kingdom for founders, freelancers, startups and established businesses based abroad who want to sell into those markets, get paid in dollars or pounds, raise investment or work with platforms that require a local entity.
We don’t stop at registration. We get the company ready to trade: tax numbers, address, bank account, payment gateways and a compliance calendar so no deadline slips.
Open a US LLC or C-Corp
We form LLCs and C-Corps in Delaware, Wyoming and other states, with a registered agent. We obtain the EIN from the IRS and, if you need one personally, help with your ITIN application. We help you choose between an LLC and a C-Corp based on your activity, fundraising plans and tax position in your country of residence.
Set up a UK Ltd
We register your Private Limited Company at Companies House with a UK registered office, clearly defined directors and persons with significant control (PSCs), and the identity verification the register now requires. We help with Corporation Tax registration, your UTR and, where relevant, VAT registration.
How the process works
We start with your business: what you sell, to whom, where you live and what you plan next. From there we recommend a jurisdiction and entity type, and explain the obligations each option carries before you commit.
Then we prepare and file the paperwork, obtain the tax numbers, and support you through opening a bank or fintech account and setting up Stripe, PayPal or other payment providers.
Finally you get an annual compliance calendar: state reports, federal filings such as Form 5472 for foreign-owned LLCs, UK annual accounts and confirmation statements, and registered agent renewals. We can handle all of it every year.
Banking is often the hardest step for non-residents. Requirements vary by institution and change often, so we prepare the documentation they usually ask for and point you to options that accept owners based abroad, without promising any particular bank will approve the account.
What to know before you start
Owning a company abroad doesn’t remove your tax obligations where you live. Depending on your situation, the company or its profits may also be taxed in your home country. We work alongside your tax adviser and recommend you always review your personal position. Rules and fees change frequently.
Why form your company with ARK
Few formation providers can also build what the company sells: the website, the online store, the app or the software. We can. Launch your US LLC with its website and app from one team, or your UK Ltd with payments already integrated.
And as the company grows, our audit and investment practices are there too: due diligence before a funding round, a controls review, or co-investment in projects that fit the group.
Frequently asked questions
Can I form a US LLC as a non-resident?
Yes. You don’t need to be a US resident or citizen to form an LLC. You will need a registered agent in the state and an EIN to operate.
Delaware or Wyoming?
Delaware is the standard for startups planning to raise money, typically as a C-Corp. Wyoming is often chosen for lower running costs and simplicity for small LLCs. We recommend based on your case.
Do I need an ITIN?
An ITIN is a tax number for individuals who can’t get a Social Security number but have US tax filing or reporting needs. It isn’t always required; it depends on your situation.
Can a non-UK resident set up a UK Ltd?
Yes. Directors and shareholders can live outside the UK, but the company needs a UK registered office, and directors and PSCs must verify their identity with Companies House.
Will I still pay tax in my home country?
Possibly. It depends on your tax residence, where the company is managed and the entity type. Always check with a tax adviser; we work alongside them.
